Overview

This website is operated by [Solios Watches Inc.] ("Solios," "we," "us," or "our"). By visiting our site or purchasing from us, you engage in our "Service" and agree to be bound by these Terms of Service ("Terms"), together with all policies referenced or linked here — including our Privacy Policy, Return & Refund Policy, Shipping Policy, and Warranty — which are incorporated by reference. If you do not agree to these Terms, you may not access the site or use any Service.

These Terms apply to all users, including browsers, customers, and contributors of content. Our store is hosted on Shopify Inc., which provides the ecommerce platform that allows us to sell to you.

1. Eligibility & online store terms

By agreeing to these Terms, you represent that you are at least the age of majority in your province or state of residence, or that you have given us consent to allow any minor dependents to use this site under your supervision. You may not use our products or the Service for any unlawful or unauthorized purpose, nor may you violate any laws in your jurisdiction (including copyright laws), and you must not transmit any malware or code of a destructive nature. A breach of these Terms may result in immediate termination of your access to the Service.

2. Accounts

You can browse and purchase as a guest, or create an account. If you create one, you are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Accounts must not be created by bots or automated means, and each person should maintain a single account. Notify us promptly at clients@solioswatches.com if you believe your account or credentials have been compromised. We may suspend or close accounts that we reasonably believe violate these Terms.

3. Products, pricing & availability

We have made every effort to display our products, colors, and images as accurately as possible, but we cannot guarantee that your screen's display of any color will be accurate. Products may be available in limited quantities and are subject to our Return & Refund Policy. Prices and product descriptions are subject to change at any time without notice, and we may limit or discontinue any product, or limit sales by person, region, or jurisdiction, at our discretion. Any offer for a product is void where prohibited.

4. Orders, order acceptance & payment

Your submission of an order is an offer to purchase. A binding contract is formed only when we accept your order, which we do when we send you a shipping confirmation (not merely an order-received email). We may refuse, limit, or cancel any order at our discretion — including orders that appear to be placed by resellers, or that involve suspected fraud or pricing errors — and we may attempt to notify you using the contact details you provided.

You agree to provide current, complete, and accurate purchase and account information. Payments are processed by third-party providers (such as Shopify Payments, PayPal, and Sezzle for installments); we do not store your full payment-card details. Where you choose to pay in installments, the terms of the applicable provider also apply. Title to and risk of loss for products pass to you upon delivery; until a product is paid for in full, it remains our property.

5. Pre-orders

Some products may be offered for pre-order. Pre-order items display an estimated ship date on the product page at the time of purchase; this date is an estimate and may change. Unless stated otherwise, pre-orders are charged at the time the order is placed. If a pre-order is significantly delayed, you may contact us to cancel it for a refund of that item before it ships.

6. Shipping, returns & warranty

Shipping, delivery timelines, duties, and restrictions are governed by our Shipping Policy. Returns, exchanges, and refunds are governed by our Return & Refund Policy. Please note that personalized or engraved items and final-sale items are non-returnable, and engraving charges are non-refundable, as described in that policy.

Our watches are sold with the limited warranty described on our Warranty page. That warranty is the express warranty we provide and is in addition to any rights you have under applicable consumer-protection law that cannot be excluded (see Section 12).

7. Errors, inaccuracies & omissions

Occasionally information on our site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any such error and to change or update information, or cancel orders, if any information is inaccurate at any time without prior notice, including after you have submitted your order. We undertake no obligation to update information except as required by law.

8. Intellectual property

The Solios name, logos, product designs, watch designs, text, images, video, and all other content on this site are owned by Solios or its licensors and are protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable license to access and use the site for its intended purpose. You may not copy, reproduce, republish, sell, resell, scrape, or create derivative works from any part of the site or its content without our prior written permission.

9. User comments, feedback & submissions

If you send us creative ideas, suggestions, reviews, or other materials ("comments"), whether at our request or not, you agree that we may edit, copy, publish, distribute, translate, and use them in any medium without restriction, compensation, or obligation of confidentiality. You agree your comments will not violate any third-party right or contain unlawful, defamatory, abusive, obscene, or malicious material, and that you will not impersonate others or mislead us as to the origin of your comments. You are solely responsible for your comments; we assume no liability for them. We may, but are not obligated to, remove content we consider objectionable or in breach of these Terms.

10. Prohibited uses

You may not use the site or its content: for any unlawful purpose; to solicit unlawful acts; to violate any laws, regulations, or ordinances; to infringe our or others' intellectual-property rights; to harass, abuse, defame, or discriminate on the basis of gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; to submit false or misleading information; to upload or transmit viruses or malicious code; to collect or track others' personal information; to spam, phish, spider, crawl, or scrape; for any obscene or immoral purpose; or to interfere with or circumvent the security features of the site. We may terminate your access for violating any prohibited use.

11. Third-party links & tools

The Service may include content, tools, or links from third parties over which we have no control. We provide access to such tools and links "as is" and "as available," without warranty or endorsement, and we are not liable for any harm arising from your use of them or from any third-party website. Please review the third party's own terms and policies before engaging in any transaction; complaints about third-party products should be directed to the third party.

12. Disclaimer of warranties & limitation of liability

Except for the express limited warranty on our Warranty page and any rights that cannot be excluded under applicable law, the Service and all products are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, Solios and its directors, officers, employees, affiliates, agents, suppliers, and service providers shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including lost profits, lost revenue, lost data, or replacement costs, arising from your use of the Service or any product. Where liability cannot be excluded, our total liability shall not exceed the amount you paid for the product giving rise to the claim.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, warranty, right, or remedy that cannot lawfully be excluded — including rights under Québec's Consumer Protection Act, and the mandatory consumer-protection laws of other jurisdictions where you reside. Where such laws apply, our liability is limited to the maximum extent those laws permit.

13. Indemnification

You agree to indemnify and hold harmless Solios and its affiliates, officers, directors, agents, contractors, suppliers, and employees from any claim or demand, including reasonable legal fees, made by any third party arising out of your breach of these Terms, your violation of any law, or your violation of the rights of a third party.

14. Force majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, strikes, carrier or supplier failures, power or internet outages, cyber-attacks, pandemics, or government actions.

15. Termination

These Terms are effective unless and until terminated by either you or us. You may terminate by ceasing to use our Service. If we believe you have failed to comply with any provision of these Terms, we may terminate your access at any time without notice, and you will remain liable for all amounts owed up to and including the date of termination. Obligations and liabilities incurred before termination survive.

16. Assignment

We may assign or transfer our rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights or obligations without our prior written consent.

17. Severability, waiver & entire agreement

If any provision of these Terms is found unlawful or unenforceable, that provision will be enforced to the fullest extent permitted and severed from the rest, which remain in effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with the policies referenced here, constitute the entire agreement between you and us and supersede any prior agreements.

18. Governing law & jurisdiction

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to any mandatory consumer-protection law of your place of residence, you agree that the courts of the Province of Québec (district of Montréal) have exclusive jurisdiction over any dispute. If the consumer-protection law of your country or state provides higher mandatory protections, those protections prevail.

19. United States users — dispute resolution

If you are a resident of the United States, to the maximum extent permitted by law, you and Solios each waive any right to a trial by jury, and any claims must be brought individually and not as part of a class action or class-wide proceeding.

20. Changes to these Terms

We reserve the right to update or replace any part of these Terms by posting changes to our website. It is your responsibility to check periodically. Your continued use of the site after changes are posted constitutes acceptance of those changes.

Solios Watches — SMS / Messaging Terms & Conditions

When you sign up to receive text messages from Solios, you agree to receive recurring automated marketing and informational text (SMS/MMS) messages at the mobile number you provided. Consent to receive automated marketing texts is not a condition of any purchase. Message and data rates may apply, and message frequency will vary. We may change the frequency, or the short code or number from which messages are sent, and will notify you where required.

Not all devices are supported, and messages may not be deliverable in all areas. Solios, its service providers, and the mobile carriers are not liable for delayed or undelivered messages. Your enrollment is also governed by our Privacy Policy.

Cancellation: text STOP to our short code at any time to stop receiving messages; you will receive one confirmation message. Our platform may not recognize unsubscribe requests that do not include the STOP keyword, and we are not liable for failing to honor such requests. Unsubscribing from one program does not unsubscribe you from others you have joined, and you may continue to receive transactional or email communications.

Number changes: if you change or deactivate your mobile number, you agree to notify us. Support: email clients@solioswatches.com. We may change or terminate the messaging program at any time; changes are effective upon posting.
